Mr. Munshi concentrates his practice primarily in corporate governance, securities regulation and disclosure, mergers and acquisitions, NYSE and NASDAQ compliance, and general corporate matters.
Prior to starting the firm, Mr. Munshi served as the primary disclosure and governance lawyer for two Fortune 500, NYSE listed companies.
Mr. Munshi has regularly advised public company clients on SEC reporting and compliance requirements. He has served as a counselor to public company boards of directors in connection with SEC, corporate governance and executive compensation disclosure matters. He advises clients on NYSE and NASDAQ compliance. He has also represented investment partnerships in connection with formation and preparation of offering documents, as well as regulatory compliance.
Mr. Munshi has worked on a number of high-profile mergers and acquisition transactions, representing private and public companies across a broad range of industries and sectors, including IT, telecommunications, energy, retail, insurance and financial services, food and beverage, lodging and hospitality, healthcare and manufacturing, ranging in value from $50 million to over $10 billion. In addition to representing acquirers and targets, he has represented some of the leading investment banks in their role as financial advisor to the acquirer or target in connection with a M&A transaction. Mr. Munshi has extensive experience in structuring, negotiating and advising clients on various types of M&A transactions, including stock acquisitions, asset acquisitions, stock-for-stock mergers, cash-election mergers, tender offers, divestitures, auctions and cross-border transactions.
Mr. Munshi regularly speaks on topics of SEC reporting, corporate governance and executive compensation disclosure matters.
